These Terms govern your use of Softcods services and products, including ERP, software development, web & mobile apps, and digital business card solutions. By accessing or using our site or services, you agree to these Terms.

1. Services & Engagement

Scope, deliverables, fees, and timelines are defined in proposals or statements of work. Changes may require written approval and adjusted fees or timelines.

2. Acceptable Use

  • Do not use our services for unlawful, harmful, or infringing activities.
  • Do not attempt unauthorized access, reverse engineering, or disruption of our systems.
  • Provide accurate information and comply with applicable laws and regulations.

3. Intellectual Property

We retain ownership of our pre-existing IP, tools, and frameworks. Project-specific deliverables are owned as stated in the applicable agreement. Client-provided materials remain the client’s property; you grant us a limited license to use them for project delivery.

4. Payments

Fees, invoicing schedules, and payment terms are defined in the proposal or agreement. Late payments may incur delays, suspension, or additional charges where permitted by law.

5. Confidentiality

Both parties agree to protect confidential information and use it only for the purposes of the engagement, except where disclosure is required by law.

6. Warranties & Disclaimers

Services are provided with reasonable skill and care. Except as explicitly stated in writing, services and products are provided “as is” without other warranties. We do not guarantee uninterrupted or error-free operation.

7. Liability

To the maximum extent permitted by law, Softcods is not liable for indirect, incidental, or consequential damages. Our aggregate liability is limited to the fees paid for the relevant services in the 6 months preceding the claim.

8. Data Protection

We handle personal data in line with our Privacy Policy. Where required, data processing terms may be agreed separately.

9. Third-Party Services

Some solutions may rely on third-party platforms or APIs. Their availability and terms are controlled by those providers. You are responsible for complying with applicable third-party terms.

10. Termination

Either party may terminate as provided in the agreement or if the other party materially breaches and does not cure within a reasonable time. Upon termination, outstanding fees remain payable and certain clauses (e.g., confidentiality, IP, liability limits) survive.

11. Governing Law

These Terms are governed by the laws of the jurisdiction specified in your agreement with Softcods. Disputes will be handled in the courts of that jurisdiction unless otherwise agreed.
